Terms & Conditions

1. Definitions & Parties

“Maiju”, a brand of BuCo Advies B.V., NL‑registered (KvK 94153655).

“Client”, any person or legal entity agreeing to these T&C by purchase or consultancy contract.

2. Scope & Services

• • AI Agents/Products: References to virtual or downloadable products like AI Agents or Workflows that can be purchased directly from the website. Details  per product page.

  • Consultancy Projects: Custom AI consulting deliverables per signed SOW.

3. Licence & Use

• • Clients receive a non-exclusive, non-transferable licence for internal use.

  • No redistribution or sublicensing permitted.

4. Client Obligations

• • Provide accurate inputs, cooperate with Maiju’s personnel, use Products per documentation.

  • Obliged to maintain account confidentiality and report issues or misuse.

5. Fees & Payment

• • Products: Price as listed; billed on purchase; immediate access creates binding contract, no cooling-off reversal under Dutch law.

  • Consultancy: Invoiced per SOW; payment within 14 days; late fees apply.

  • Refunds: Allowed for defective products or project cancellation before milestone delivery, prorated.

6. Term, Renewal & Termination

• • Products: Term as per licence term; auto-renew unless cancelled with 30 days’ notice.

  • Consultancy: Term per SOW.

  • Termination: For material breach, insolvency, misuse.

  • Post-termination: Licence ends, Product access disabled; data deletion unless required otherwise.

7. Intellectual Property & Confidentiality

• • Maiju owns all pre-existing IP; Client owns bespoke deliverables unless otherwise agreed.

  • Both parties maintain confidentiality for proprietary information for five years post-termination.

8. Data Protection & AI Compliance

• • Personal data processed per Privacy Policy.

  • For AI services: Maiju conducts risk assessments, maintains human oversight, logs actions for 6 months, informs clients of any incidents in compliance with EU AI Act.

9. Warranties & Disclaimers

• • Services performed with reasonable skill; no guarantees on specific results.

  • Products provided “as is” without implied fitness.

  • Exclusions: No liability for indirect or consequential losses.

10. Liability Cap

• • Liability limited to direct damages up to the total amount paid in the past 12 months.

  • No liability for lost profits, data, or business interruption.

11. Force Majeure

• • Neither party liable for delay/performance failure due to events outside reasonable control.

12. Governing Law & Dispute Resolution

• • Governed by Dutch law; exclusive jurisdiction of Rotterdam court.

13. Amendments

• • Maiju may update terms with 30 days’ notice; continued use implies acceptance.

14. Miscellaneous

• • Assignment only with written consent.

  • Entire agreement supersedes prior communications.

  • If part is invalid, others remain effective.
